By accessing or using the Capistral Global Markets platform, you agree to be bound by these Terms and Conditions. If you do not agree, you must not access or use the platform.
2. Nature of the Platform
Capistral is an information and capital formation visibility platform. It provides issuers with a mechanism to submit and display offering information, and provides subscribers with a discovery interface to view that information. Capistral is not a broker-dealer, investment adviser, securities dealer, funding portal, or transaction facilitator.
3. Issuer Responsibilities
Issuers who submit listing information represent and warrant that: (a) all information submitted is accurate, complete, and not misleading; (b) they have obtained all necessary legal and regulatory approvals required for their offering; (c) they are solely responsible for compliance with all applicable securities laws, regulations, and exemption requirements in all relevant jurisdictions; and (d) the listing does not violate any applicable law.
4. No Transaction Facilitation
Capistral does not execute, process, settle, or participate in any securities transaction. It does not hold, transfer, or administer any funds. Any investment or subscription activity occurs entirely outside the platform and is conducted directly between the relevant parties at their sole risk.
5. No Advice or Endorsement
Nothing on the Capistral platform constitutes investment advice, financial advice, legal advice, or a recommendation to purchase, sell, or hold any security or investment. Capistral does not endorse, verify, or guarantee any listing, issuer, or offering.
6. User Conduct
Users agree not to submit false or misleading information, interfere with the operation of the platform, scrape or harvest data without authorization, or use the platform for any unlawful purpose.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Capistral and its affiliates, directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or reliance on any listing information.
8. Payments and Billing
All payments are processed through Stripe, a third-party payment provider. By completing a transaction, you agree to Stripe's terms and conditions. We do not store full payment card information on our servers. Payments are subject to Stripe's processing, security, and compliance standards. You agree to provide accurate billing information and to use a payment method that you are authorized to use. All payments are final unless otherwise stated. We reserve the right to modify pricing, billing structures, or payment requirements at any time.
9. Governing Law
These Terms are governed by applicable law. Capistral reserves the right to update these Terms at any time. Continued use of the platform following an update constitutes acceptance of the revised Terms.
