Capistral Global Markets is a technology platform that enables discovery and communication within private markets. It provides a structured environment where issuers, subscribers, and existing shareholders can interact through discovery tools, Deal Rooms, and market activity signals.

Capistral operates as an information and communication platform. It does not execute securities transactions, provide investment advice, or act as a broker, dealer, or investment intermediary. All interactions facilitated through the platform occur directly between users.

The platform is designed for institutional and professional market participants seeking structured access to private market discovery tools.

Deal Rooms are private communication environments within the Capistral platform where issuers can share information with interested subscribers.

When a subscriber indicates interest in a listing, a Deal Room may be opened to facilitate direct dialogue between the issuer and the subscriber. This allows both parties to exchange information, ask questions, and communicate without leaving the platform environment.

Capistral does not participate in these conversations, does not validate any information shared within Deal Rooms, and does not execute or facilitate any transaction arising from Deal Room activity. Any transaction that may result from Deal Room dialogue occurs entirely outside the platform.

The Capistral platform allows subscribers to indicate interest in specific listings. This interest signal is informational and communicates to the issuer that a subscriber is interested in learning more about a listing.

Indicating interest through the platform is non-binding and does not represent a commitment to invest, a binding agreement, or a securities transaction of any kind. It does not obligate either the subscriber or the issuer.

Interest signals are intended solely as a discovery and communication tool that enables issuers and subscribers to identify potential alignment and initiate further dialogue through Deal Rooms.

Existing shareholders in private companies may list a signal of potential interest in liquidity through the Capistral platform. These signals indicate that a shareholder may be open to exploring discussions about transferring their shares.

Shareholder liquidity signals are informational and represent an expression of potential interest in initiating dialogue. They do not constitute an offer to sell securities, a securities transaction, or a binding commitment of any kind.

Any transfer of securities involving a shareholder would occur entirely outside the Capistral platform, subject to applicable laws, company agreements, and regulatory requirements.

The Market Feed provides authenticated platform participants with a platform-wide view of issuer updates, marketplace activity, and investor signals across Capistral listings.

Activity displayed in the Market Feed is informational and reflects platform-level events such as new listings, offering updates, investor interest signals, and Deal Room activity. It does not represent trading activity, market pricing data, or a regulated market feed.

The Market Feed is intended to help participants maintain situational awareness of general marketplace activity within the Capistral platform environment.

Dashboard : A centralized home for each user type — issuers, investors, and shareholders — showing relevant activity, listings, and account information.

Explore / Discovery Map : A global map-based discovery interface that allows participants to browse issuer listings and shareholder listings by geography, sector, and other parameters.

Deal Rooms : Private communication environments where issuers and investors can exchange information and conduct direct dialogue.

Market Feed : A platform-wide activity stream aggregating issuer updates, interest signals, and marketplace events for authenticated users.

Investor Signals : A tool allowing subscribers to submit non-binding interest signals to issuers, initiating the potential for further dialogue.

What Are Private Companies? : Private companies are businesses whose shares are not listed on a public stock exchange. They raise capital through private placements and other mechanisms governed by applicable securities regulations.

How Capital Raises Work : Private companies may seek to raise capital through the issuance of securities such as shares, convertible notes, or other instruments. These transactions are generally subject to regulatory exemptions and investor eligibility requirements that vary by jurisdiction.

Shareholder Liquidity : Existing shareholders in private companies — such as former employees, early investors, or founders — may seek to explore the possibility of transferring their shares. This is commonly referred to as a secondary market or liquidity transaction and is subject to company agreements and applicable regulations.

Private vs. Public Markets : Unlike public markets, private capital markets are not subject to continuous pricing or exchange-based trading. Transactions in private markets are typically negotiated directly between parties, are less liquid, and involve more complex regulatory considerations.

Capistral operates exclusively as a technology platform for discovery and communication within private capital markets. It provides tools that allow users to find, explore, and connect — but does not participate in, facilitate, or execute any securities transaction.

Capistral does not:

Execute or settle trades or securities transactions

Provide brokerage, dealing, or underwriting services
Custody or register securities on behalf of any user
