Issuer Compliance Responsibility
Issuers who use the platform to display offering information are solely and entirely responsible for ensuring that: (i) their offering complies with all applicable securities laws, registration requirements, and available exemptions in every jurisdiction in which the offering may be made or viewed; (ii) appropriate risk disclosures are provided to prospective investors; and (iii) all applicable regulatory filing and reporting requirements are satisfied.
No Transaction, No Agency
Capistral does not act as agent, principal, nominee, custodian, or counterparty in any transaction. We do not introduce parties for the purpose of, or in connection with, any regulated activity. We are a passive information intermediary only.
No Verification of Offering or Investor Status
Capistral does not verify the eligibility of subscribers or investors, does not assess suitability, does not perform know-your-customer procedures on behalf of issuers, and does not validate investor accreditation status. These responsibilities remain entirely with the issuer and the relevant parties.
